By signing a contract, initiating payment, or otherwise engaging with our services, you acknowledge and agree to abide by these Terms. If you do not agree with these Terms, you must refrain from using our services. Neuron reserves the right to modify or update these Terms at any time. Continued use of our services after any changes indicates your acceptance of the revised Terms.
As a client, you are responsible for providing accurate and timely information required for us to execute our services effectively. You must ensure that your representatives are available for scheduled meetings, that approvals and feedback are given within reasonable timeframes, and that any data or content supplied does not infringe upon third-party rights. Misrepresentation, misinformation, or failure to provide necessary materials may delay or negatively impact deliverables, for which Neuron bears no responsibility.
All service fees, including fixed monthly retainers, commissions, or performance-based pricing, are outlined in your specific engagement proposal. Payments are due in advance unless otherwise agreed. Late payments may incur interest charges and may result in a pause or termination of services. For monthly subscriptions, termination requires a minimum of 30 days’ written notice before the next billing cycle. All fees are non-refundable unless explicitly stated in writing.
Neuron retains ownership of all proprietary materials, frameworks, processes, and content created unless otherwise agreed. Upon full payment of all outstanding fees, you are granted a non-exclusive, non-transferable license to use the deliverables for their intended purpose. Any reproduction, resale, or unauthorized distribution of Neuron’s materials is strictly prohibited. You agree not to reverse-engineer, copy, or misappropriate any of our proprietary tools or methodologies.
Neuron provides its services with due skill and care. However, we make no guarantees regarding specific outcomes, business performance, or financial returns. To the extent permitted by law, Neuron shall not be liable for indirect, incidental, or consequential damages including loss of revenue, data, or business opportunities. Our total liability for any claims under these Terms is limited to the total amount paid to us by the client in the three months preceding the event giving rise to the claim.
These Terms shall be governed by the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, the matter will be submitted to mediation. If mediation fails, the parties agree to submit to the exclusive jurisdiction of the courts of New South Wales.
